Retailer Program Terms and Conditions
§ 1 [General Provisions]
These Retailer Program Terms and Conditions define the rules of cooperation between CarLabImmo Sp. z o.o. and the Retailer within the framework of the Retailer Program, including the obligations, rights, and terms of cooperation.
The purpose of the Retailer Program is to enable independent Retailers to resell the Immo Bypass software, manufactured by CarLabImmo Sp. z o.o., using a sales account within the CarLabImmo Sp. z o.o. system.
The Retailer Program allows Retailers selected by CarLabImmo Sp. z o.o. to gain access to the sales platform and further resell the Immo Bypass product.
§ 2 [Definitions]
CarLabImmo Sp. z o.o. – the owner of the Immo Bypass product and the sales platform, which offers the product for sale and manages the Retailer Program. The company operates under the address Boh. Westerplatte 33a/2, 66-400 Gorzów Wlkp., Poland, registered under VAT ID (NIP) PL5993292541 and in the National Court Register (KRS) under number 0001136516.
Retailer – a natural person, legal entity, or organizational unit that has obtained access to the Retailer Program upon acceptance by CarLabImmo Sp. z o.o., and which resells the CarLabImmo Sp. z o.o. product within the provided sales platform.
Retailer Program / Program – the cooperation program operated by CarLabImmo Sp. z o.o., enabling Retailers to resell the Immo Bypass product.
Sales Platform – the system provided by CarLabImmo Sp. z o.o., through which the Retailer gains access to the product and manages sales.
Terms and Conditions – these Retailer Program Terms and Conditions.
§ 3 [Conditions of Participation]
A Retailer may be any adult natural person with full legal capacity, or a business entity.
Persons affiliated with CarLabImmo Sp. z o.o. may not participate in the Program.
Joining the Program requires:
a) submitting an application via the form provided on the website,
b) accepting these Terms and Conditions,
c) approval of the application by CarLabImmo Sp. z o.o.
CarLabImmo Sp. z o.o. reserves the right to reject any application without providing a reason.
§ 4 [Obligations of the Retailer]
The Retailer undertakes to:
a) conduct sales in compliance with applicable laws,
b) use promotional materials provided by CarLabImmo Sp. z o.o. in a manner that does not infringe copyrights or image rights,
c) inform customers of the sales terms consistent with the conditions specified by CarLabImmo Sp. z o.o.,
d) refrain from actions that could damage the reputation of CarLabImmo Sp. z o.o. or its products.
The Retailer is not authorized to independently modify products or their descriptions without the prior consent of CarLabImmo Sp. z o.o.
§ 5 [Cooperation Between the Retailer and CarLabImmo Sp. z o.o.]
CarLabImmo Sp. z o.o. provides the Retailer with:
a) access to the Sales Platform,
b) up-to-date information about products and their availability.
Technical support for end customers in relation to the products offered by CarLabImmo Sp. z o.o. remains the sole responsibility of CarLabImmo Sp. z o.o.
The Retailer is responsible for publishing offers in accordance with the guidelines of CarLabImmo Sp. z o.o.
The Retailer purchases products from CarLabImmo Sp. z o.o. in its own name and on its own account, and subsequently resells them to end customers. CarLabImmo Sp. z o.o. does not participate in the further resale process and is not responsible for the terms set by the Retailer with respect to its customers.
§ 6 [Liability]
The Retailer bears full responsibility for any actions contrary to these Terms and Conditions or applicable laws, including the unauthorized use of marketing materials.
CarLabImmo Sp. z o.o. shall not be held liable for actions of the Retailer that go beyond the scope of the Program.
§ 7 [Termination of Cooperation]
The Retailer may resign from participation in the Program at any time by submitting a resignation notice to CarLabImmo Sp. z o.o.
CarLabImmo Sp. z o.o. may terminate cooperation with the Retailer with immediate effect in the event of a breach of these Terms and Conditions or if the Retailer acts to the detriment of CarLabImmo Sp. z o.o.
Upon termination of cooperation, the Retailer loses the right to use any promotional materials of CarLabImmo Sp. z o.o.
§ 8 [Confidentiality and Personal Data Protection]
The Retailer is obliged to maintain the confidentiality of all commercial and technical information obtained during cooperation.
Personal data is processed in accordance with applicable legal regulations and the privacy policy of CarLabImmo Sp. z o.o.
§ 9 [Final Provisions]
CarLabImmo Sp. z o.o. reserves the right to amend these Terms and Conditions. Retailers will be informed of any changes in advance.
Any disputes arising from these Terms and Conditions shall be resolved by the court competent for the registered office of CarLabImmo Sp. z o.o.
These Terms and Conditions enter into force on the date of their acceptance by the Retailer.
